4.1 Fee Structure:

4.2 Standard Payment Terms:

4.3 Payment Methods:

• • Wire Transfer for international clients

4.4 Taxes:

• • All prices exclusive of GST unless stated
• • GST (18%) added to invoices for Indian clients
• • International clients responsible for applicable taxes

5.1 Client Ownership (Upon Full Payment):

• • Custom code developed for the project
• • Custom designs and visual assets
• • Documentation specific to deliverables

5.2 Company Retains Ownership of:

• • Proprietary methodologies and processes
• • Pre-existing IP, tools, and frameworks
• • Reusable code components
• • Trade secrets and know-how

5.3 Third-Party Components:

• • Open source components remain subject to their licenses
• • Commercial third-party components require separate licenses
• • Client responsible for obtaining required licenses

Both parties agree to:

• • Maintain strict confidentiality
• • Use information solely for authorized purposes
• • Limit disclosure to those with need-to-know
• • Return or destroy information upon request

Exceptions:

• • Publicly available information
• • Information known prior to disclosure
• • Independently developed information
• • Required disclosure by law

7.1 Timeline Estimation:

• • Good-faith estimates based on agreed scope
• • Subject to Client meeting obligations
• • Regular progress updates provided

7.2 Milestone-Based Delivery:

• • Testing and QA

7.3 Acceptance Testing:

• • 5-10 business days review period

8.2 Our Warranties:

• • Deliverables conform to specifications
• • No infringement of third-party IP
• • We have authority to grant licenses

8.3 Warranty Period (30-90 days):

• • Bug fixes for defects present at delivery
• • Corrections for non-conformance
• • No additional charge during warranty

Warranty Exclusions:

• • Client modifications or misuse
• • Third-party software issues
• • Client environment issues
• • Damage from viruses or unauthorized access

9.2 No Consequential Damages - We are not liable for:

• • Indirect, incidental, or consequential damages
• • Loss of profits, revenue, or savings
• • Loss of data or business opportunities
• • Business interruption
• • Damage to reputation

9.3 Exceptions:

• • Client payment obligations
• • IP infringement indemnification
• • Gross negligence or willful misconduct
• • Fraud or death/injury from negligence

10.1 Client Indemnifies Us for:

• • Client's use or misuse of deliverables
• • Content and materials provided by Client
• • Claims by Client's customers or third parties
• • Client's breach of Agreement or laws
• • Illegal activities using our deliverables

10.2 We Indemnify Client for:

• • Claims that our deliverables infringe third-party IP
• • Subject to prompt notice and cooperation
• • We have sole control of defense

11.2 Termination for Convenience:

• • Client may terminate with 30 days notice
• • Payment required for completed work
• • Termination fees may apply (10-25%)

11.3 Termination for Cause:

• • Material breach not cured within 15 days
• • Insolvency or bankruptcy
• • Illegal activities
• • Failure to pay within 30 days of due date

11.4 Effects of Termination:

• • Outstanding fees become immediately due
• • Return of confidential information
• • Delivery of completed work (if paid)
• • License revocation upon non-payment

12.1 Informal Resolution:

• • Written notification of dispute
• • Good faith negotiation for 30 days
• • Senior management involvement if needed

12.2 Mediation:

• • Submit to mediation before litigation
• • Costs shared equally
• • Location: Sikar, Rajasthan

12.4 Litigation:

• • Exclusive jurisdiction of Sikar, Rajasthan courts
• • Prevailing party entitled to attorneys' fees
